Research Use Only Terms

These Research Use Only Terms (the “Terms”) govern your access to and purchase of products and your use of this website (collectively, the “Services”) operated by Medlly LLC (“Medlly,” “we,” “us,” or “our”). By accessing the catalog, completing an attestation, or placing an order, you agree to these Terms. If you do not agree, do not use the Services.

We may update these Terms from time to time. The version in effect at the time of your order applies to that order. Continued use after an update constitutes acceptance of the revised Terms.

All products are supplied strictly as research-grade materials for laboratory and in-vitro research use only. Products are sold for use by, and are intended only for, qualified professionals and institutions in an appropriate research setting.

Products are not for human consumption and are not for any diagnostic, therapeutic, clinical, cosmetic, household, food, or veterinary use. Nothing in the Services is intended to describe, suggest, or imply any use of any product in or on the human or animal body. Product listings provide compound identity and physical or analytical specifications only; they do not describe effects, outcomes, or applications.

You are solely responsible for determining whether a product is suitable for your intended research, for handling it safely, and for conducting your research in compliance with all applicable laws, regulations, institutional policies, and accepted laboratory safety practices.

You expressly acknowledge and agree that you will not ingest, inject, inhale, apply to, or otherwise introduce any product into the body of any human or animal, and that you will not resell, distribute, or otherwise transfer any product for such purposes.

Products are not approved by the U.S. Food and Drug Administration or any comparable authority for human or veterinary use, and have not been evaluated for safety or efficacy for any such use. Any use of a product outside of controlled laboratory research is a misuse of the product, is strictly prohibited, and is undertaken entirely at your own risk.

To access the catalog and to purchase, you must affirmatively attest that: (a) you are at least 21 years of age; (b) you are acquiring products solely for laboratory or research use and not for human or animal consumption; and (c) you agree to these Terms. You may be asked to re-affirm this attestation at checkout.

By making these attestations you represent that the information you provide is true and that you are authorized to acquire research materials for your stated purpose. We may decline, limit, or cancel any order at our discretion, including where we have reason to believe a product may be misused.

All orders are offers to purchase and are subject to acceptance by us. We may refuse or cancel an order at any time for any lawful reason, including suspected misuse, errors in pricing or product information, or limits on quantity. Prices and availability are subject to change without notice.

Payment is processed by third-party payment providers. You agree to provide accurate, complete billing and shipping information. We do not collect or store any medical information in connection with your order.

We ship research materials to the address you provide. Title and risk of loss pass to you upon our delivery of the products to the carrier. You are responsible for ensuring that receipt, storage, and handling at the destination comply with applicable laws and with appropriate laboratory safety and storage practices, including any cold-chain or temperature requirements noted on a product listing.

Delivery timeframes are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, or events beyond our reasonable control. You are responsible for any import duties, taxes, or compliance requirements applicable in your jurisdiction.

Because these are research materials whose integrity depends on controlled storage and handling, all sales are final once a product has shipped, except as required by law. We do not accept returns of opened products.

If a product arrives damaged, or if you receive an incorrect item, you must contact us within seven (7) days of delivery with your order number and supporting documentation. Where a claim is verified, we may, at our discretion, provide a replacement or a refund for the affected item. Do not return any product without first contacting us and receiving instructions.

Where provided, a Certificate of Analysis (COA) reflects third-party analytical testing of a specific lot and is made available for your reference. A COA describes analytical characteristics of the material only. It is not a representation of suitability for any particular purpose and does not constitute any claim regarding use.

Information provided through the Services is supplied for general reference to qualified researchers and is not medical, legal, regulatory, or other professional advice. The products are not FDA-approved drugs and we make no therapeutic, diagnostic, preventative, or other health or benefit claims of any kind. Nothing in the Services should be interpreted as a recommendation to use any product in any particular way.

You are responsible for obtaining any independent professional, regulatory, or institutional guidance appropriate to your research.

Except for any limited specification expressly stated on a product listing or its COA, the products and the Services are provided “as is” and “as available” without warranty of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the products are fit for any use other than the laboratory research use described in these Terms.

To the maximum extent permitted by law, Medlly and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising out of or related to your purchase, handling, or use of any product, including any use in violation of these Terms. Our aggregate liability for any claim relating to a product will not exceed the amount you paid for that product.

You agree to indemnify and hold Medlly harmless from any claim, loss, or expense arising out of your breach of these Terms or your use, handling, or distribution of any product, including any use of a product for human or animal consumption.

These Terms are governed by the laws of the United States and the State of Wyoming, where Medlly LLC is organized, without regard to conflict-of-laws principles. You agree that the state and federal courts located in that jurisdiction have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to venue in those courts.

The Services are intended only for jurisdictions where the sale and possession of research materials for laboratory use is lawful. You are responsible for ensuring that your purchase and use comply with the laws of your jurisdiction. We do not offer or ship products where prohibited by law.
